Terms of Service

The agreement governing access to FlipTrack UK, its vehicle operating tools and its paid subscription.

These Terms of Service govern your use of FlipTrack UK, a web-based vehicle profit tracking service operated as a sole trader under the trading name FlipTrack UK, based in Leeds, United Kingdom. By creating an account and using FlipTrack UK, you agree to these terms in full.

1. The Service

FlipTrack UK provides tools to help users track the purchase, costs and sale of vehicles for profit analysis purposes. The service is available on a free tier and a paid Pro tier. Features available on each tier are described in the Billing area.

We reserve the right to modify, suspend or discontinue any part of the service at any time. We will endeavour to provide reasonable notice of significant changes.

2. Your Account

You must be at least 18 years old to use FlipTrack UK. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised use of your account.

You agree to provide accurate information when creating your account. We reserve the right to suspend or terminate accounts that provide false or misleading information.

3. Subscriptions and Payments

FlipTrack Pro is available on a monthly or annual subscription basis. Payments are processed securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis at the rate selected at the time of purchase.

You may cancel your subscription at any time through the Stripe billing portal accessible from the Billing area. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by law.

We reserve the right to change pricing with reasonable advance notice. Existing subscribers will be notified before any price change takes effect.

4. Acceptable Use

You agree to use FlipTrack UK only for lawful purposes. You must not use the service to track vehicles involved in illegal activity, attempt to gain unauthorised access to our systems, reverse engineer or copy any part of the service, or resell or redistribute access to the service without our written consent.

5. Your Data

All vehicle and financial data you enter into FlipTrack UK belongs to you. We store it securely to provide the service and do not sell it to third parties. You can export your data using the export features within the app. On account deletion, your data will be removed from our active systems as described in our Privacy Policy.

6. DVLA and DVSA Data

All FlipTrack users can access vehicle data from the DVLA Vehicle Enquiry Service and DVSA MOT History API, subject to reasonable fair-use controls. This data is provided for informational purposes only. FlipTrack UK makes no guarantee as to the accuracy or completeness of data returned from these sources. You should always verify vehicle information independently before making purchasing decisions.

7. Generated Listing Content

FlipTrack includes a Listing Composer that assembles draft advertising copy from the vehicle information you record. Draft listings are provided as a starting point only. You are responsible for reviewing and verifying all content before publishing it. FlipTrack UK accepts no liability for inaccurate or incomplete claims published by a user.

8. Financial Information

FlipTrack UK is a profit tracking tool and does not provide financial, tax or legal advice. Profit calculations are based solely on the data you enter. You are responsible for maintaining accurate records and for meeting any tax obligations arising from your vehicle trading activities. We recommend consulting a qualified accountant for tax advice.

The Cash Flow and Capital Planner provides forecasts from your opening cash, expected receipts, remaining costs and assumptions. The VAT Margin Scheme workspace provides eligibility prompts, stockbook fields and an indicative one-sixth calculation for eligible positive margins. Neither tool verifies your tax treatment, provides Making Tax Digital software or submits information to HMRC. You must verify every output and obtain professional advice where appropriate.

The after-sales case manager is an operational record. It does not determine your legal responsibilities, warranty obligations or a customer's statutory rights. You remain responsible for handling complaints, remedies, records and communications lawfully and within the required timescales.

9. Disclaimer of Warranties

FlipTrack UK is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, representations and conditions, whether express or implied, concerning the service, including its reliability, accuracy, availability, fitness for a particular purpose and freedom from errors. We do not guarantee that the service will always be available, uninterrupted, secure or error-free, or that every defect will be corrected.

Nothing in these terms affects any warranty, right or remedy that cannot lawfully be excluded, including your statutory rights if you use the service as a consumer.

10. Limitation of Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or a consumer's statutory rights and remedies.

Subject to the paragraph above, FlipTrack UK shall not be liable for any indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings, or for loss, corruption or unavailability of data arising from your use of, inability to use or reliance on the service. This includes loss arising from bugs, calculation errors, service interruptions, crashes, third-party provider failures or unauthorised access, except to the extent that liability cannot lawfully be excluded.

You are responsible for checking important calculations and outputs, maintaining independent copies of records you need to retain, and using the available export tools. If you use FlipTrack UK in the course of a business, our total aggregate liability arising out of or relating to the service or these terms shall not exceed the greater of £100 and the subscription fees you paid to FlipTrack UK during the 12 months immediately before the event giving rise to the claim.

11. Indemnification

If you use FlipTrack UK in the course of a business, you shall indemnify FlipTrack UK against reasonable losses, liabilities, damages and legal costs arising from a third-party claim caused by your unlawful use of the service, content or files you upload or publish, infringement of another person's rights, or material breach of these terms. This obligation applies only to the extent that the claim was caused by your acts or omissions and does not cover losses caused by FlipTrack UK's negligence, breach of these terms or unlawful conduct.

If you use FlipTrack UK as a consumer, you remain responsible for your unlawful conduct and breaches of these terms, but this section does not require you to compensate us beyond what may lawfully and fairly be recovered from you.

12. Suspension and Termination

We may suspend, restrict or terminate your account where we reasonably believe that you have materially breached these terms, used the service unlawfully or fraudulently, failed to pay charges when due, created a security or operational risk, harmed other users or third parties, or exposed FlipTrack UK or its providers to legal liability. We may act immediately where reasonably necessary to protect the service, its users or third parties. Otherwise, where the issue can reasonably be remedied, we will normally give you notice and a reasonable opportunity to correct it.

We may also terminate the service or an account for legitimate business or operational reasons by giving reasonable notice. Where we terminate a paid account for those reasons rather than because of your breach, we will provide any refund required by law and, where reasonably practicable, an opportunity to export your data. You may stop using the service, cancel a paid subscription or request account deletion at any time using the controls provided in FlipTrack UK.

13. Governing Law and Disputes

These terms and any non-contractual disputes arising from them are governed by the laws of England and Wales. Before starting court proceedings, you and FlipTrack UK should first try to resolve the dispute by contacting the other party and allowing a reasonable opportunity to respond.

If you use FlipTrack UK in the course of a business, the courts of England and Wales shall have exclusive jurisdiction. If you use FlipTrack UK as a consumer, you may bring proceedings in the courts available to you under applicable consumer law, including the courts of the part of the United Kingdom where you live where those rights apply.
